Welcome to Circle Send Media Ltd (“we”, “our”, “us”). These Terms of Service (“Terms”) set out the agreement between you (“the Client”, “you”, “your”) and Circle Send Media Ltd regarding the provision of our email and SMS marketing services. By engaging our services, you agree to be bound by these Terms.

Our Services
We provide email and SMS marketing services for eCommerce brands, including but not limited to:

Email/SMS account setup and configuration

Creation of automated flows and campaigns

Ongoing optimisation, reporting, and account management
We act strictly as a data processor: all customer data remains within the client’s platforms (e.g. Klaviyo, Omnisend). We never upload, download, or store customer data on our own systems.
Client Responsibilities
You agree to:

Provide access to necessary platforms (Shopify, Klaviyo, Omnisend, etc.)

Ensure all marketing activity complies with GDPR, PECR, CAN-SPAM and other relevant laws

Provide accurate company information, product data, and branding assets as required
Payment Terms

Setup Packages: Work begins once contracts are signed and full payment has been received.

Monthly Retainers: Fees are billed in advance, payable at the end of the previous month for the upcoming month.
Refunds & Performance Guarantee
We aim to achieve strong ROI for all clients. If, after 4 months of your system being live, our email/SMS system is not generating at least 20% of your store’s total revenue, you are eligible for a refund of service fees paid.
Intellectual Property

Creative work (designs, copy, strategies) created by us remains our intellectual property until full payment has been received.

After payment, you are granted a license to use materials we produce for your brand.
Limitation of Liability
We are not liable for indirect, incidental, or consequential damages. Our total liability for any claim is limited to the amount you paid us for the services giving rise to the claim.
Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
